These Terms of Use apply to your use of backstopmarketing.com, our forms, booking tools, and the live demo chat (together, the "Site"). Clients of our paid services are also bound by the Master Services Agreement, which controls if it conflicts with these Terms. "We," "us" and "Backstop" mean Taskronize LLC, a Wyoming limited liability company doing business as Backstop Marketing.

1. Who this is for and how you accept

1.1 The Site is intended for business owners and professionals in the United States, mainly hardscaping and deck-building contractors. You must be at least 18 and able to enter a binding contract. If you use the Site for a business, you confirm you can bind it.

1.2 By using the Site, you accept these Terms and our Privacy Policy and Cookie Policy. If you do not accept them, do not use the Site.

1.3 We may update these Terms. Changes take effect when posted with a new effective date. We will give notice for material changes on the Site, or by email if you have given us your email. Using the Site after that is acceptance. You should check the date from time to time.

2. What the Site is, and what it is not

2.1 The Site describes our marketing, website and automation services. It is general information. It is not legal, tax, financial, insurance or contractor-licensing advice.

2.2 Prices and estimates. Any pricing, ranges, comparisons, examples or return estimates on the Site are illustrative. Your cost and results depend on your market and business. Final prices are set in a signed Order Form.

2.3 Results and testimonials. Case studies and testimonials describe individual experiences. They are not a promise that you will get the same results.

2.4 No contract from browsing. Nothing on the Site is an offer that you can accept by clicking. A service contract exists only when we both sign an Order Form under the Master Services Agreement.

3. The demo assistant

3.1 The Site includes a live demo of our AI assistant, "Mason," that runs in your web browser. The demo shows how the assistant handles a sample contractor business. That business is fictional. Any appointment, quote, price, address or availability you are given in the demo is not real, and no one will visit you or perform work.

3.2 AI disclosure. You are speaking with artificial intelligence, not a person. The assistant says so at the start of each conversation.

3.3 Recording and transcripts. Demo chats may be recorded, transcribed and reviewed by us to run, secure and improve the demo and our services, and for quality and abuse prevention. A notice appears in the chat window before you send your first message. If you do not want your conversation saved, do not use the demo.

3.4 Do not share sensitive information. Do not give the demo your Social Security number, payment card or bank details, passwords, health information, or information about other people. Use fictional details if you prefer.

3.5 Text message from the demo. If you ask the demo to send a confirmation text, you first check a consent box next to your number. You then agree to receive that text at the number you give, from us, sent by automated technology. Message and data rates may apply. It is a one-time demo message. We send marketing texts only after a separate opt-in. Reply STOP to stop and HELP for help. Consent to text is not a condition of using the Site. See our Privacy Policy, Section 8, for details on messaging.

3.6 Limits. We may limit, refuse or end demo use, including by rate limits, hourly caps, and verification before a session, to prevent abuse and control costs. Automated, repeated or commercial use of the demo is not allowed.

4. Acceptable use

You agree not to:

  • break the law or the rights of anyone else, or use the Site to send unlawful, deceptive or unsolicited messages;
  • attempt to reverse engineer, copy, scrape, probe, or interfere with the Site or the demo, or bypass its rate limits or security;
  • upload malware, or overload the Site;
  • use the Site or demo to build, train or benchmark a competing product, or to extract our prompts, workflows, or configuration;
  • impersonate another person or misstate your affiliation;
  • collect information about other users; or
  • use the Site if you are not a real prospective customer or a person with a legitimate interest in our services, without our permission.

We may suspend or block access to any person for any reason, including our sole judgment that they are misusing the Site.

5. Intellectual property

5.1 The Site, including its text, designs, logos, the Backstop and Mason names, demo scripts, workflows and code, belongs to us or our licensors and is protected by intellectual property laws. "Backstop Marketing" and related logos are our brand.

5.2 You may view the Site and print pages for your own evaluation of our services. You may not copy, republish, distribute, modify or sell any part of it without our written permission.

5.3 Your feedback. If you send us ideas or feedback, we may use them without obligation to you.

6. Information you submit

What you send through forms, booking or chat is handled under our Privacy Policy. You promise that the information you give is accurate and that you have the right to give it.

7. Third-party links and services

The Site may link to or embed third-party services (for example, calendars, maps, or ad platforms). We do not control them and are not responsible for their content, availability or privacy practices. Their own terms apply.

8. Disclaimers

8.1 The Site and demo are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent the law allows.

8.2 The demo assistant uses third-party AI models and can be wrong, slow or unavailable. We do not promise that the Site will be uninterrupted or error-free.

9. Limitation of liability

To the fullest extent the law allows, Backstop and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site or demo. Our total liability for all claims relating to the Site is limited to $100. Some laws do not allow these limits, so they may not apply to you in full.

10. Indemnity

You will defend and indemnify us against claims, losses and reasonable legal fees arising from your misuse of the Site or your breach of these Terms.

11. Governing law and disputes

These Terms are governed by Wyoming law, without regard to its conflict-of-law rules. Disputes will be resolved by binding arbitration under the rules of the American Arbitration Association, held remotely. Nothing here limits rights that cannot be waived under the law where you live.

12. General

These Terms, with the Privacy Policy and Cookie Policy, are our entire agreement with you about the Site. If any part is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms. Our contact details are below.
